Canadian Pacific does not understand that "no" means "no":

hi

I wonder is NS has a "poison pill" clause?

I am really getting tired of the continued talk from CP about share prices. Yes, both companies have to answer to investors, but the major point is to be a railroad, not a commodity that can be traded whenever you feel like it....

Alas, that seems to have been the whole point of Wall Street these days. . .obviously not limited to railroads. . .

How many recall how "steel" got traded as a commodity, all sorts of stocks are considered a commodity, how home loans became a commodity?

If capitalism gets killed off, it will be because of shenanigans like this, and others, too.

A good Washington Post Article from December 16. It looks like CP and Hunter Harrison are really committed to the fight... ready to do whatever it takes. The article also brought up an interesting point that the STB (U.S. Surface Transportation Board) is unlikely to approve such a large merger, as they have not approved any railroad mergers of any size since 2001. This is a good read.

Quote:
“If this is going to be a street fight, so be it,” Harrison said.

Quote:
S&P Capital IQ analyst Jim Corridore said he thinks there is little chance that STB regulators will approve this deal, and he expects Norfolk Southern to reject this latest offer, so a proxy battle appears likely.

Canadian Pacific’s offer has the support of board member Bill Ackman, who leads activist investment firm Pershing Square. Ackman said Wednesday that if this Norfolk Southern deal fails, Canadian Pacific will pursue other railroads.

And here is your Gordon Gekko. Ackman has some tarnish on him where the Fed is concerned, but like any good hedge guy he has the money to sprinkle around DC (and probably dirt too) to lower regulatory hurdle. I can't help but think that this deal would all but kill CSX (pen central 2.0 if NS gets a broader footprint)

On another level the war on Coal (a global one btw) has not been good to the RRs, and NS may acquiesce simply because business wise its about maxing tonnage and creating end to end solutions for customers.

As for mainline steam, its a rare treat that is going to get rarer IMO.

If he tries that, I hope he gets exposed and sent to jail for bribery. North America does not need any more mega-merger madness, especially since PTC has not been fully implemented yet.

Speaking of which, here is an interesting opinion piece from Trains
which addresses PTC and the CP/NS merger saga:
