Postings at trainorders.com and also Atlas Model Trains indicate that Ohio Central may have been sold to Genesse & Wyoming.

I spent an hour looking on the SEC's "edgar" website, I couldn't find any mention of a form 8-K filing, which is required for such events as:

Section 1 -- Registrant's Business and Operations
Item 1.01 Entry into a Material Definitive Agreement

Section 2 -- Financial Information
Item 2.01 Completion of Acquisition or Disposition of Assets
Item 2.02 Results of Operations and Financial Condition
Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant
Item 2.05 Costs Associated with Exit or Disposal Activities

Section 5 -- Corporate Governance and Management
Item 5.01 Changes in Control of Registrant
Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Section 8 -- Other Events
Item 8.01 Other Events (The registrant can use this Item to report events that are not specifically called for by Form 8-K, that the registrant considers to be of importance to security holders.)

Section 9 -- Financial Statements and Exhibits
Item 9.01 Financial Statements and Exhibits

Since I'm not a securities attorney, I can't saw whether acquiring the OC would require the filing of an 8-K, but it would seem to be big enough deal to meet any "threshold" requirements of materiality and I think would surely qualify under one of these categories.

Well, I guess JJJ had to pay for his builder's plate collection habit somehow--he (or his agent) just coughed up $17,000 for a UP Big Boy number plate on eBay......... <:-)

Well it's now official as shown on the GW website. My congratulations to Jerry Jacobson for this success. I'm sure Jerry will allocate some of the $219 million he's getting for his stock to benefit his stable of steamers, and I'm only guessing but am confident that he has made sufficient provisions with the buyer to insure that he'll have some operating rights down the road.

Now maybe we can talk Jerry into taking over the Grand Canyon railroad operation from Phil Anshutz who just bought the entire Xaterra Corp?? What a great place that would be for his stable and all that fine passenger equipment.

Time will tell.

You are being far too passive! I personally think Mr. Jacobsen's 6325 would look fantastic in the YRE paint scheme (smile)!
