How many Board of Directors does your organization have, 3, 5, 7, or more?

What is your reason for the number you have?

We have 7. President, Vice President, Secretary, Treasurer, and 3 directors.

As far as I know that's the way its always been. It does help to have 7 as opposed to 5 or 3 because if one or two board members can't make it they can still have the meeting (need a majority of 4 board members present to call a meeting).

We have 9. Pres, VP, Secretary, Treasurer, National Director, and 4 at large. Some of the "at large" also chair or co-chair committees.

Hoosier Valley RR Museum has 7, Pres, VP, Sec, Treas, 3 directors
Membership I would guess is upper 200's. I could be wrong, I'm sure
someone will correct it. Good work day could have 20 workers doing volunteer
work. Gift shop, kitchen car, train crew, track workers, restoration workers,
various other duties.

We have 9 board members, Not including President who is elected by the membership. VPs of operations, VP of Museum Curation, are NOT board member, but answer to the board. Treasurer and secretary are elected by the board, but are not voting board members.

We have about 200 memebers, but 80% of the work is done by 20% of members. You know how that is.

Orange Empire has a nine (9) member Board of Directors. Three are elected each year for 3-year terms by the membership.

Membership is about 1400 with about 600 max. returning the mail ballots.

The Board, like any corporation, selects the best available persons (need not be Board members) to fill the various officer positions. Bylaws require a Chairman, a President, at least one Vice-President, a Secretary, and a Chief Financial Officer. Currently there are Vice-Presidents for Collection, Facilities, and Visitor Experience. Currently only two officers are also Board members; the number has varied over the years and has been as high as five.

We have just one board of directors. North Carolina corporate law doesn't allow for more if I read it correctly. Don't know what is up in other states if they allow several boards of directors to control one corporation, or how anything gets done.

They are asking for the number of board members.In NC and all other states only one board of directors is allowed but it can various number of members.

Since Clay answered for SMRS, I'll answer for BAERA/WRM. 10. Not sure why. There's a Chairman, Secretary, Treasurer, and President. There is no Vice President because the President only has one duty: to convene the General Membership meeting, which has only one agenda item: election results. I convened it without a proper quorum, which helped me understand that rules of meetings bend to practical necessity.

One rationale about number of directors is tiebreaking. The notion is that with an odd number, you are less likely to deadlock in a tie. In my experience (4 years on 3 organizations' boards) this doesn't work because a director is often absent.

The chairman doesn't factor into the count, but some people think it does. Under most parliamentary rules, the chairman does not vote normally. However he can vote to break a tie. Less known is that he can also vote to MAKE a tie, which kills the motion.

Interesting science fact about Michigan law. It permits a limited number of directors who are 16 or 17.

I think you missed the point. From my point of view CSTH (chuckled silently to himself), it looked like Dave was joking about the grammar. (It's a shame these computer thingys don't have a sarcasm font) Us old curmudgeons are picky about about that sort of stuff..............:)

BAERA's bylaws require that the Secretary and Treasurer can not also be Directors.

Thanks for the responses. We are fine tuning our leadership structure and wanted to do some benchmarking. At the Black River Railroad Historical Trust we have 7 BODs, Pres, VP, Secretary, and Treasure are appointed buy the board once a year. The other 3 are just BODs

Yes, the grammar thing can be tricky in ciber-space.

We have a Pres, first and second V.P., secretary, treasurer, and five or six active trustees. We also have four inactive trustees that were from the original board and have moved out of state. We have approximately 40 members, of which 15 are active.
